## Beta Test Terms and Conditions (Version 1.0)

Sonicware Co., Ltd. ("Sonicware", "we", "us")

### 1. Purpose
These Terms govern participation in Sonicware's evaluation program for pre-release firmware for products that have already been released (the "Program"). By taking part, you ("Tester") agree to these Terms.
### 2. Eligibility
You must:
1. be at least 18 years old;
2. have purchased and currently own the target product through an authorised channel;
3. be reachable by us at the email address you provide; and
4. not be affiliated with organised crime groups or similar antisocial forces.
We may revoke your registration, without stating a reason, if we determine that you do not meet the requirements above.
### 3. Tester Code
1. We issue each Tester a unique identifier (the "Tester Code").
2. You must not disclose, transfer or share your Tester Code, or any URL containing it, with any third party.
3. Any submission made using your Tester Code is deemed to have been made by you.
### 4. Beta Firmware
1. Copyright in the firmware and accompanying materials we provide under the Program (the "Software") belongs to Sonicware or its licensors.
2. You may use the Software only to evaluate it on a target product that you own.
3. You must not distribute, transmit, publish or share the Software with any third party. This includes sharing download URLs, uploading to file-sharing services, and re-hosting.
4. If the Software contains features we have not yet announced, we will say so when we provide it. You must not disclose information about those identified unannounced features to any third party until we announce them. This obligation ends once we announce the feature.
### 5. Talking About the Program
1. The Program runs in public. We do not restrict you from saying that you take part, or from sharing your impressions of the Software.
2. When you publish anything about the Software, you must make clear that it concerns a beta version under development and does not represent the behaviour of our released firmware.
3. You must not publish:
- information about unannounced features identified under Section 4.4; or
- the Software files themselves, or their download URLs.
### 6. Feedback
1. We may freely use any defect report, comment, request or other information you submit ("Feedback") — without limit as to time or territory, and without payment — including by reproducing, adapting, modifying and publicly transmitting it.
2. You agree not to assert moral rights in the Feedback.
3. You will not claim any payment, compensation or other consideration in relation to our use of the Feedback.
4. You warrant that the Feedback — including the content of any file or URL you attach or reference — does not infringe the rights of any third party.
### 7. Nature of the Program and Limitation of Liability
1. The Software is under development. We make no warranty as to its completeness, accuracy, usefulness, fitness for a particular purpose, or correct operation.
2. Installing the Software may result in loss of data stored on the product, reset of settings, or temporary or permanent failure of the product. You accept this, and you are responsible for backing up beforehand any data, settings, and user-created patterns, samples and other content stored on the product. Preserving that content is your responsibility, and we are not liable for its loss, corruption or unrecoverability.
3. We will provide, for reference, a procedure for returning a product running the Software to our released firmware. We give no warranty as to the content of that procedure or the results of running it. Running it may erase data, settings, and user-created patterns, samples and other content stored on the product.
4. **Taking part in the Program and installing the Software does not, in itself, void the product warranty attached to your product.** The period and conditions of that warranty are governed by our product warranty terms.
5. Our liability to you in connection with the Program is limited to the remedies available under the product warranty referred to in paragraph 4.
6. The limitations and exclusions in this Section do not apply where we have acted with intent or gross negligence, or in respect of damage to your life or physical health.
7. Nothing in this Section applies to the extent it is invalid under the law of your country of residence.
### 8. Prohibited Conduct
You must not:
1. decompile, disassemble or otherwise analyse the Software;
2. use a product running the Software for business-critical purposes (paid performance, recording, or production with delivery obligations);
3. use information obtained through the Program to develop products competing with ours; or
4. register using false information, or take part in the Program while impersonating another person.
### 9. Ending Participation
1. You may leave the Program at any time by contacting us.
2. We may revoke your participation without notice if you breach these Terms, if you turn out not to meet Section 2, or if we otherwise consider it inappropriate for you to continue.
3. We may suspend or end the Program at any time without prior notice.
4. Sections 3, 4, 5, 6, 7, 8 and 12 survive the end of your participation.
5. On ending participation, you will delete the Software files. We recommend, but do not require, that you return your product to our released firmware.
### 10. No Payment, No Employment
Participation is unpaid. No employment, agency, contracting or other working relationship arises between you and Sonicware.
### 11. Personal Data
We handle your personal data as described in our Beta Test Privacy Notice.
### 12. Governing Law and Jurisdiction
1. These Terms are governed by and construed in accordance with the laws of Japan.
2. The Tokyo District Court has exclusive jurisdiction as the court of first instance for disputes arising from these Terms.
3. The two preceding paragraphs do not restrict any right available to you under the mandatory consumer protection laws of your country of residence.
### 13. Changes
If we change these Terms, we will publish the revised version on our website and notify you by email. If you do not accept the change, you may end your participation under Section 9.
